Terms of Service

By using the Site in any capacity, whether as a client seeking to engage developers ("Client"), a developer offering services ("Developer"), or a partner referring talent ("Partner"), you accept and agree to comply with all provisions of these Terms. Rec-Loom may update these Terms from time to time, and continued use of the Site signifies your acceptance of any revised Terms.

You represent and warrant that you are at least 18 years of age and possess the legal right and ability to enter into a binding contract. The Site is not available to minors. If you are under 18, do not use the Site.

Rec-Loom grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes, including sourcing or providing software development services. All materials on the Site, including text, images, code, and graphics, are the proprietary intellectual property of Rec-Loom or its licensors and are protected by applicable intellectual property laws.

By submitting information, such as your resume, bio, or professional content, to the Site, you grant Rec-Loom a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, or distribute the content for the purposes of operating and promoting the Site. You remain solely responsible for the accuracy and legality of your submissions.

You agree not to:

• Violate any laws or regulations.
• Infringe on intellectual property rights.
• Post defamatory, obscene, or offensive content.
• Disrupt the operation of the Site.
• Engage in unauthorized advertising or solicitation.
• Misrepresent your identity or affiliations.
• Upload harmful software or code.
• Attempt to gain unauthorized access to the Site or other users' data.

You agree to use the Site solely for professional purposes aligned with Rec-Loom's services. You agree to:

• Provide accurate and current information.
• Use your own judgment in evaluating opportunities or users.
• Maintain professional conduct in all interactions.

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access or security breaches. You are solely responsible for all activity under your account.

Developers are employed by Rec-Loom and are contracted out to Clients for the duration of a specific engagement. Developers perform their duties in accordance with their employment agreements and are compensated by Rec-Loom, not directly by Clients. Clients are required to fully fund engagements in advance or in accordance with the agreed billing cycle. Rec-Loom remains responsible for paying its Developers, provided that Clients meet their payment obligations. If a Client fails to pay Rec-Loom for the services rendered, Rec-Loom reserves the right to suspend or terminate the Developer's engagement with that Client.

Clients may begin with a four-week trial period, which includes up to 160 hours of Developer time. A one-time $2,000 trial management fee applies. This trial allows Clients to evaluate the Developer's performance in a real working environment. If the Client chooses to continue working with the Developer after the trial period, no additional placement fee is required. If the Client decides not to proceed, only the trial fee and any hours worked are payable.

Clients hiring a Developer are entitled to a 30-day performance guarantee. If a Developer resigns or is deemed unfit during this period, Rec-Loom will offer a free replacement or refund the placement fee if a suitable replacement is not found within 30 days.

Upon full payment, Clients receive full ownership of all intellectual property resulting from the engagement. Rec-Loom, as the employer of the Developer, assigns all rights in such work product to the Client. Any necessary agreements, including NDAs, confidentiality provisions, or IP assignments, will be executed between Rec-Loom and the Client to formalize these rights and responsibilities.

Rec-Loom is responsible for the quality and professionalism of the services provided by its employed Developers. If a Client is dissatisfied with any aspect of a Developer's performance, they must notify Rec-Loom in writing within 10 business days of the issue arising. Rec-Loom will review the concern, propose corrective action, and if applicable, offer a replacement Developer or refund any unused pre-paid hours related to the disputed work. Rec-Loom's resolution will be made in good faith and with the Client's satisfaction as a priority.

The Site may contain links to external websites not owned or operated by Rec-Loom. We are not responsible for the content, policies, or practices of these sites. Use them at your own risk.

All parties agree to keep confidential any proprietary, technical, or business information shared via the Site unless legally required to disclose.

You agree to defend, indemnify, and hold harmless Rec-Loom, its affiliates, and employees from any claims, damages, or legal actions arising from your use of the Site, your submissions, or breach of these Terms.

The Site is provided "as is" and "as available." Rec-Loom makes no warranties, express or implied, regarding accuracy, availability, or fitness for a particular purpose. We do not guarantee uninterrupted service or error-free functionality.

Rec-Loom is not liable for any indirect, incidental, or consequential damages. Our aggregate liability to any user shall not exceed $500 or the amount paid by the user in the previous 30 days, whichever is greater.

We may suspend or terminate your access to the Site at any time and for any reason. You may deactivate your account at any time by contacting Rec-Loom. Upon termination, all outstanding rights and obligations survive.

These Terms are governed by the laws of the Republic of South Africa. You agree to submit to the exclusive jurisdiction of the courts of South Africa for any disputes arising out of or related to these Terms or your use of the Site.
